Terms of Service

Effective November 3, 2026 · defifilm.blaqclouds.io

1. Acceptance

By requesting a sign-in link and using FRX — Film Rights Exchange at defifilm.blaqclouds.io — you agree to these Terms of Service. If you do not agree, do not use the platform.

2. The service

FRX is a film and television rights workspace: a catalog for titles, a builder for rights packages, deal records, and an on-chain evidence layer that anchors significant records as immutable proof. FRX is currently an invitation-only beta; access requires an administrator to place your email on the access list.

3. Evidence only — the binding law of this platform

EVIDENCE ONLY: blockchain artifacts are an evidence layer; the signed instrument and platform records control. Not an offer of securities.

On-chain artifacts — anchors, hashes, and certificates — do not create, transfer, or modify any legal right. Certificates are soulbound (non-transferable) and convey no right, title, or interest in any work, contract, or payment. Nothing on this platform is a security offer, solicitation, or exchange. FRX does not act as a broker, dealer, exchange, or transfer agent.

4. Accounts

Access is by magic link sent to a whitelisted email address; there are no passwords. You are responsible for keeping your email account secure. You must be the person your email address belongs to, and you may not share access with others.

5. Wallets

Every account receives an automatically provisioned EVM wallet on the SUPER chain. It is custodial by default: FRX derives and holds it for you, and the platform relayer provides gas for platform writes. You may export the wallet to full self-custody from your account page; after export you are solely responsible for the safety of your keys and keystore password — lost keys cannot be recovered by FRX. FRX does not guarantee the availability of any blockchain network, and chain availability is not a condition of the platform records, which remain authoritative in all cases.

6. Acceptable use

You may use FRX only for lawful purposes. You may not use the platform to offer or solicit securities, to misrepresent rights you do not hold, to upload content you have no right to submit, to infringe intellectual property, or to attempt to make on-chain artifacts appear to be legal instruments — they are evidence, never authority.

7. Intellectual property

You retain all rights in your content — titles, documents, package definitions, and records. You grant FRX a limited license to host, process, hash, and anchor that content as needed to provide the service. Anchors reference hashes of your records; they do not publish the contents of your documents.

8. Disclaimers

The service is provided as is. FRX does not warrant uninterrupted availability of any chain, RPC node, or platform feature. Nothing on FRX is financial, legal, or investment advice. Do not rely on on-chain evidence as a substitute for executed instruments or professional counsel.

9. Limitation of liability

To the maximum extent permitted by law, FRX and its operators are not liable for indirect, incidental, or consequential damages, lost profits, or losses arising from chain reorganizations, node failures, lost exported keys, or reliance on on-chain evidence as legal authority.

10. Termination

Administrators may revoke access at any time, including for violations of these terms. You may stop using the service at any time and request account deletion through the platform administrator. On-chain anchors already written are permanent by design and are unaffected by account deletion.

11. Governing law

These terms are governed by the laws of the State of Nevada, without regard to conflict-of-law rules. Any dispute is brought in the state or federal courts located in Clark County, Nevada.

12. Changes

We may update these terms as the platform evolves. Material changes will be announced in the platform before taking effect, and the current version is always available at this address.

13. Contact

Questions about these terms go to the platform administrator — members reach the administrator through their account page; prospective members through the person or organization that invited them.
